Tokyo's Metaplanet targets US markets with 2,100-BTC stake in Nasdaq-listed firm

Tokyo-based Metaplanet's planned acquisition of Super League Enterprise will establish its presence in American capital markets by transferring existing Bitcoin holdings instead of making new purchases.

Tokyo-listed Metaplanet, which has embraced Bitcoin as its core treasury reserve asset, intends to acquire a majority position in Super League Enterprise, a Nasdaq-traded entity, thereby extending its Bitcoin treasury approach to the United States while potentially unlocking additional capital sources.

During Tuesday's announcement, Simon Gerovich, CEO of Metaplanet, revealed the firm's intention to inject 2,100 Bitcoin (BTC) alongside $2.5 million in cash into Super League, which will undergo a rebranding to Superplanet and serve as the American arm of the company's Bitcoin treasury operations.

This 2,100 BTC injection accounts for slightly less than 5% of Metaplanet's total holdings of 43,000 BTC and carries an approximate value of $135 million based on Bitcoin's current market price. Since the Bitcoin will be sourced from Metaplanet's current treasury reserves, this transaction does not constitute an additional BTC acquisition.

According to Gerovich, this arrangement would provide the company with dual channels for capital acquisition, enabling Superplanet to access US financial markets while Metaplanet maintains its fundraising operations in Japan. The transaction is anticipated to reach completion during the fourth quarter of 2026, pending standard closing requirements, including shareholder approval from Super League.

Based on the proposed framework, funds secured by either entity could bolster the group's comprehensive Bitcoin treasury approach. Metaplanet indicated that Superplanet might also explore acquisition opportunities within the US Bitcoin treasury sector that could be inaccessible to its Japanese parent organization.

Super League Enterprise presently runs a business focused on immersive gaming, content creation and advertising solutions. The company's stock price jumped over 50% in response to the news, while trading activity experienced a dramatic spike.

Share trading volume climbed to approximately 37.3 million shares, a stark contrast to the previous level of about 393,000 shares, marking an almost 95-fold surge, based on data from Yahoo Finance.

Bitcoin treasuries face new capital pressures

Metaplanet has positioned itself as the third-largest holder of corporate Bitcoin, sitting approximately 500 BTC behind Twenty One Capital. Twenty One Capital operates as a publicly listed Bitcoin treasury entity supported by Tether, Bitfinex and SoftBank, established with the goal of accumulating Bitcoin and growing holdings on a per-share basis. The most recent addition to Metaplanet's Bitcoin reserves occurred in early July, as reported by BitcoinTreasuries.NET.

Strategy, led by Michael Saylor, continues to hold the position of largest corporate Bitcoin holder, possessing more than 840,000 BTC. Nevertheless, the company has also engaged in Bitcoin sales during recent months to finance dividends, share buyback programs and its US dollar reserve, underscoring certain capital-management obstacles confronting publicly listed Bitcoin treasury firms.
